These terms apply to the use of Notulist: the web app, the apps for iPhone, Android and Mac, and the connections with other services. By creating an account or using Notulist, you agree to them. Please also read our Privacy Policy.

1. Who we are

Notulist is a service of KKX B.V., Keulenstraat 1, Deventer, the Netherlands, registered with the Dutch Chamber of Commerce under number 93019424 (“KKX”, “we”). You can reach us at hello@notulist.io.

2. Definitions

• Service: Notulist, as described on notulist.io, including the apps and connections.
• User or you: anyone with an account.
• Business user: a user acting in the course of a profession or business, including on behalf of an organisation.
• Consumer: a user who is a natural person not acting in the course of a profession or business.
• Organisation: a company or institution that manages Notulist for its members (the Team plan).
• Content: everything you record or have created in Notulist, such as recordings, transcripts, reports, tags, people, companies, vocabularies and chats.

3. Your account

1. You must be at least 16 years old to use Notulist.
2. You sign in with a Microsoft, Google or Apple account. Make sure that account is yours and well secured. You are responsible for what happens with your account.
3. During the beta we review access requests. We may decline a request without giving reasons.
4. Organisation accounts. If an organisation invites you, or your email address belongs to a domain an organisation has verified, your account can be managed by that organisation. Its admins can then block, restore or have your account deleted, and see your usage numbers (not the content of your meetings). The app shows you when your account is managed.

4. The service

1. With Notulist you record meetings or upload recordings, have them transcribed with speakers, create reports with AI, search and share your meetings, and connect your calendar and other apps.
2. Beta. Notulist is under development and is offered free of charge during the beta. Features may change, be added or be removed.
3. We do our best to keep Notulist available and secure, but we cannot guarantee that the service always works without interruptions or errors. We schedule planned maintenance at quiet times where possible.
4. AI can make mistakes. Transcripts, reports, titles, suggestions and answers are generated automatically and may be inaccurate or incomplete. Check them before relying on them or sharing them.

5. Plans and payment

1. Notulist is currently free. We are working on paid plans (Pro and Team). The prices and payment terms we announce before they take effect will apply to them.
2. You only start a paid plan if you choose to.
3. Right of withdrawal for consumers. If you take out a paid plan as a consumer, you can withdraw within 14 days without giving reasons. If you ask us to start providing the service within that period, you pay proportionally for the period up to your withdrawal.

6. Recording conversations

1. You are responsible for the recordings you make with Notulist and for what you do with them.
2. Let participants know you are recording, and ask for their consent where the law requires it. Laws differ by country and situation.
3. Don’t use Notulist to record conversations you don’t take part in or aren’t allowed to record, or to secretly monitor others.
4. If you use Notulist for business, you (or your organisation) are the controller for the personal data in your recordings, and you make sure there is a valid legal basis and that participants are informed. Our Data Processing Agreement forms part of these terms.

7. Your content

1. Your content stays yours. You only give KKX the right to store, process and display your content as far as needed to provide, secure and support the service.
2. KKX doesn’t use your content to train AI models and doesn’t sell it.
3. You warrant that you have the right to upload your content and have it processed, and that it doesn’t infringe anyone else’s rights.
4. If you share a meeting with others or connect another app, they get access to the content as you set it up. You can always revoke that.
5. You can export your content at any time in Settings.

8. What’s not allowed

You won’t use Notulist:

• in breach of the law or the rights of others, such as privacy, copyright or portrait rights;
• to process or spread unlawful, misleading or harmful content;
• to disrupt or attack the service, other users or our providers, for example by circumventing security, overloading the service or collecting data automatically;
• to copy, decompile or rebuild the software, except as far as the law allows;
• to resell the service or offer it to others without our written permission.

If you want to report or investigate a security issue, please contact us first.

9. Other services

Notulist works with services of others, such as Microsoft, Google and Apple for sign-in and calendars, and Claude, ChatGPT and Siri if you connect them. Their own terms also apply to those services. KKX is not responsible for how other services work.

10. Intellectual property

Notulist, the software, the design and the brand name belong to KKX or its licensors. You get a personal, non-exclusive and non-transferable right to use the service for as long as your account exists and you comply with these terms. We may use suggestions and feedback you give us to improve Notulist.

11. Privacy

How we handle personal data is described in our Privacy Policy. For business users, the Data Processing Agreement also applies.

12. Liability and indemnity

Business users

1. KKX’s liability towards a business user for damage arising from or related to Notulist or these terms, on whatever basis, is limited to the amount the business user paid KKX for Notulist in the 12 months before the event that caused the damage. If the business user uses Notulist free of charge, that liability is limited to € 250. Related events count as one event.
2. KKX is not liable towards business users for:
   • indirect and consequential damage, such as lost profits, missed savings, reputational damage and damage from business interruption;
   • damage caused by relying or acting on transcripts, reports, suggestions or answers from Notulist;
   • loss of or damage to data, unless caused by KKX failing to comply with the backup measures in the Data Processing Agreement;
   • damage caused by outages, errors or unavailability of services of others, such as Microsoft, Google, Apple and KKX’s AI providers.
3. KKX only becomes liable if the business user gives KKX written notice of default, with a reasonable period to remedy the failure, and KKX still fails after that period. The notice describes the failure as precisely as possible.
4. The business user reports damage to KKX in writing as soon as possible, and at the latest 12 months after discovering it or when it could reasonably have been discovered. After that, the right to compensation lapses.
5. The limitations in this article don’t apply in case of intent or deliberate recklessness of KKX’s management.

Consumers

6. Towards consumers, KKX is liable as provided by law. These terms don’t limit that liability, nor any other rights you have as a consumer under the law.

Indemnity

7. A business user indemnifies KKX against claims of others, such as participants in recorded meetings and people who appear in the content, arising from its recordings or other content, or from it or its organisation’s users failing to comply with these terms or the law, for example by not informing participants about a recording. The business user also reimburses the reasonable costs KKX incurs to defend itself against such claims.

13. Suspension and termination

1. You can delete your account at any time in Settings. Your account is then blocked at once and permanently deleted after 7 days; within those 7 days you can undo it. Export your data first if you want to keep it.
2. If you don’t comply with these terms, or in case of abuse or a security risk, we may suspend your access or close your account. Where reasonably possible, we warn you first and give you the opportunity to export your data.
3. If we stop offering Notulist, we will tell you at least 30 days in advance, so you can export your data.

14. Changes to these terms

We may change these terms. We’ll tell you about important changes at least 30 days in advance by email or in the app. If you don’t agree, you can delete your account before the changes take effect. If you keep using Notulist after that, the new terms apply.

15. Force majeure

KKX is not liable for failures caused by circumstances beyond its control, such as outages at providers, internet or power failures, cyberattacks or government measures.

16. Governing law and disputes

1. These terms are governed by Dutch law.
2. Disputes are submitted to the competent court of the District Court of Overijssel (Rechtbank Overijssel).
3. If you are a consumer, you can also go to the court where you live, and you keep the protection of the mandatory rules of the country where you live.
4. If you’re unhappy about something, we’d like to hear from you first: email hello@notulist.io and we’ll look for a solution together.

17. Other

1. If a provision of these terms is invalid, the other provisions remain in force. We will then replace the invalid provision with a valid one that comes as close to it as possible.
2. These terms are written in Dutch and English. In case of differences, the Dutch text prevails.
